Terms and Conditions for Businesses

1.    Introduction to the National Disability Card and National Carers Card
The National Disability Card ("NDC") and National Carers Card ("NCC") and DisabilityID are trading names of National Disability Card Limited (referred to as "we," "our," or "us"), an identity and discount service provider for disabled people and carers in the United Kingdom. For more information on eligibility criteria, which may be subject to change at our discretion, please visit www.disabilityid.co.uk. Our company is registered in England and Wales (company number 12275048), with a registered office located at 15a Deben Mill Business Centre, Old Maltings Approach, Woodbridge, Suffolk, IP12 1BL.

2.    Applicability of Terms
These Business Terms and Conditions ("Terms") apply to businesses ("you," "your") wishing to promote their products and services to our cardholders through offers on our websites and mobile apps, without providing us with a commission or other benefits for listing the offer ("Offer Listing Service").
By using our Offer Listing Service, you will be asked to agree to these Terms. The Terms, as amended or updated from time to time (see Section 10), will apply as long as your offers are displayed on our websites and mobile apps. The end of our contractual relationship upon the expiration or removal of your offers does not prevent us from pursuing claims arising during the contract term or exercising any legal rights available under contract, tort, statute, or other legal provisions.If you have an existing contract with us governing our marketing of your offers, or you later sign one, that contract will apply, and these Terms will not/ no longer apply.

3.    Description of Offer Listing Service
You can apply online for your offer to be listed on the NDC or NCC websites/mobile apps or both. We will review your application, and if it meets the eligibility criteria (see Section 4), we will list your offer on our platforms. We will not modify your offer's content, except for correcting obvious spelling or typographical errors or errors in your company/trading names. You are responsible for the wording and content of your offers, which can be amended by contacting us at partnerships@disablityid.co.uk.We have no further obligations to you and may remove your offers at any time (see Section 7). We are not required to actively market your offer or recommend your products or services to our cardholders. Occasionally, at our discretion, we may reference your offer(s) in additional marketing activities (e.g., email newsletters, blogs, social media channels). Your acceptance of these Terms serves as consent for us to do so without notice.We assume no responsibility for your products, services, or offers.

4.    Offer Eligibility Criteria
To be eligible for listing on our platforms, your offers must meet the following criteria:
●    Offer better terms than your standard or publicly available discounted pricing;
●    Not involve products or services that may cause financial difficulty for our cardholders, specifically excluding gambling;
●    Not involve financial, insurance, or mortgage products or services (contact us first if you wish to list such offers);
●    Be legal and comply with all applicable laws and regulations, including necessary licenses and adherence to industry best practices (we are not responsible for any breaches and have no obligation to perform due diligence);
●    Not contain content that may damage our reputation or brand;
●    Include a clear call to action, link to your business website (not social media), unambiguous wording, and relevant terms and conditions (or make them visible when cardholders access your website);
●    Be offered by a UK-registered business and available only in the UK. We reserve the right to remove offers that, in our sole opinion,do not meet or no longer meet the eligibility criteria (see Section 7). We also reserve the right to change the eligibility criteria at our discretion.

5.    Usage of Logos
You are not permitted to use our logos without our written consent. We have no obligation to grant consent if requested. In limited circumstances, we may provide consent for you to use our logos, in which case you must adhere to any provided marketing guidelines. Be aware that we may withdraw consent at any time without prior notice.

6.    Termination and Removal of Offers
We reserve the right to remove your offers from our websites and mobile apps at any time and for any reason, without liability to you. Reasons for removal may include, but are not limited to, breaches of these Terms, changes in eligibility criteria, or concerns regarding the legality or appropriateness of your offers, products, or services. We will inform you of our decision to remove your offers, but we are under no obligation to provide detailed explanations.

7.    Liability and Indemnification
By using our Offer Listing Service, you agree to indemnify and hold us harmless from any claims, damages, or losses (including legal fees) that may arise from your use of the Service, the content of your offers, or your products or services. We are not responsible for any losses or damages you may incur due to the removal of your offers from our platforms, the suspension or termination of our contractual relationship, or any other actions we may take in accordance with these Terms.

8.    Intellectual Property Rights
You represent and warrant that you have the necessary intellectual property rights to use any content, logos, trademarks, or other materials included in your offers. By listing your offers on our platforms, you grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute such content for the purpose of providing and marketing the Offer Listing Service.

9.    Data Protection
We will process any personal data received from you in accordance with our Privacy Policy, available on our websites. You are responsible for ensuring that your use of the Offer Listing Service complies with all applicable data protection and privacy laws.

10.    Amendments to Terms
We reserve the right to amend or update these Terms at any time, with such changes effective upon their posting on our websites. Your continued use of the Offer Listing Service following the posting of any amendments or updates constitutes your acceptance of the revised Terms.

11.    Offer Expiry and Removal
You are responsible for informing us of any applicable offer expiry dates. Upon reaching the date, our system will automatically remove your offer(s) from our websites and mobile apps at 11:59 pm on the day of expiry.We have no obligation to contact you upon offer expiry. To request new, replacement, or renewed offers, extend the expiry date of an existing offer, or change the terms of your offer, email partnerships@disabilityid.co.uk.

12.    Termination and Removal of Offers
You may request to remove your offer from our websites and mobile apps at any time by contacting us in writing. We reserve the right to remove your offers from our platforms at our discretion, without notice and liability for loss. We are not obligated to inform you before or after removing your offer. We periodically review third-party offers on our websites for suitability and relevance to our cardholders' needs. Once your offer is removed, these Terms no longer apply, but any legal rights accrued before the removal remain actionable.

13.    Handling Cardholder Complaints
When a cardholder uses your products or services, a contract forms between you and the cardholder, subject to any terms and conditions you establish. We are not a party to this contract and have no liability regarding it.We will not get involved in disputes arising from cardholder complaints about your products, services, or offers. If we receive a complaint, we will direct the cardholder to contact you for resolution. We are not obligated to forward the complaint to you.We will make reasonable efforts to resolve technical issues related to our websites or mobile apps. We are not responsible for your websites or links provided to us. If we cannot resolve a technical issue, we reserve the right to remove your offer without notifying you or assuming liability for any loss.

14.    Compliance with Laws and Regulations
You are responsible for complying with all relevant and applicable laws and regulations, including, but not limited to, data protection, consumer protection, intellectual property infringement, anti-bribery, anti-tax facilitation evasion, modern slavery, and ethical dealing.You must not engage in any activities that could damage our reputation or brand. If we determine, at our sole discretion, that such risk exists, we will immediately remove your offers from our website, without liability for loss, and cease contracting with you.

15.    Changes to Terms
We reserve the right to amend these Terms at any time without notice. If we make material changes that we believe, at our absolute discretion, significantly impact the Offer Listing Service to your detriment, we will notify you by email or post. If you do not accept the changes, you must notify us immediately and request the removal of your offers from our websites and mobile apps. Failure to request removal signifies your acceptance of the changes.

16.    Dispute Resolution
Any disputes relating to these Terms and the Offer Listing Service will be governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction to settle disputes between you and us.

When we need to write to you, we will contact you at the email address or postal address you provided on the signup form. You are responsible for maintaining up-to-date contact details for your business by notifying us via email or post of any changes.

18.     Protection of Data
NATIONAL DISABILITY CARD LIMITED is registered as a Data Processor under the Data Protection Act 1998 with the reference number ZA733593.
